These Terms of Use (“Terms”) form a binding agreement between you and BMB Management Solutions, LLC (“BMB”) regarding your access to and use of https://bmbmanagementsolutions.com, our assessments, downloads, and related services (collectively, the “Services”). If you do not agree, do not use the Services. Paid engagements are governed by a separate written agreement that controls in case of conflict.
1. Eligibility
You must be at least 18 years old and authorized to act on behalf of the organization you represent when submitting information through the Site.
2. Acceptable use
You agree not to:
- Use the Services for any unlawful, fraudulent, or harmful purpose.
- Submit content that is false, misleading, defamatory, or that infringes any third-party right.
- Submit any individual’s personal information (other than your own and other authorized business contacts) without a lawful basis to do so.
- Attempt to probe, scan, reverse engineer, scrape, or disrupt the Services or supporting infrastructure.
- Use automated means to access the Services except for publicly documented endpoints and within the rate limits we publish or enforce.
- Use the Services to build a competing product, train an AI model on our outputs, or resell our content without written permission.
3. Assessments & AI output
Our AI & workforce readiness assessments produce scores, tiers, and narrative insights using AI-assisted scoring and pattern libraries. Output is informational only. It is not legal, employment, HR, tax, or financial advice, and it is not an employment screening, hiring, promotion, discipline, or termination tool. See our Legal Disclaimer.
4. Intellectual property
The Services, including all content, software, designs, assessment frameworks, prompts, scoring logic, and the “BMB Intelligence” pattern library, are owned by BMB or its licensors and are protected by U.S. and international intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access the Site and use your individual Assessment results for your internal business planning. All other rights are reserved. You may not copy, redistribute, publish, or create derivative works from our content without prior written permission.
5. Your submissions
You retain ownership of the information you submit. By submitting, you grant BMB a worldwide, non-exclusive, royalty-free license to use it to deliver the Services, respond to your inquiry, and improve our methodology in de-identified, aggregated form. You represent that you have the right to provide the submitted information.
6. Third-party services
The Site embeds or links to third-party services (such as Calendly and our hosting and email providers). Your use of those services is governed by their own terms and privacy policies. BMB is not responsible for third-party content or practices.
7. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. BMB DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ASSESSMENT OUTPUTS WILL BE COMPLETE, ACCURATE, OR SUITED TO YOUR CIRCUMSTANCES.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BMB, ITS OFFICERS, MEMBERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. BMB’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). PAID ENGAGEMENTS ARE CAPPED AS SET FORTH IN THE APPLICABLE ENGAGEMENT AGREEMENT.
9. Indemnification
You agree to defend, indemnify, and hold harmless BMB from any claim, loss, or expense (including reasonable attorneys’ fees) arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.
10. Termination
We may suspend or terminate access to the Services at any time, with or without notice, for any reason, including suspected violation of these Terms. Sections that by their nature should survive termination (Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law) will survive.
11. Governing law & venue
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. The exclusive venue for any dispute is the state or federal courts located in New York County, New York, and you consent to personal jurisdiction there.
12. Changes
We may update these Terms from time to time. Continued use of the Services after changes are posted constitutes acceptance.
